Terms of Service

These Terms of Service ("Terms") govern your access to and use of VoiceKeep, operated at voicekeep.io ("Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, you must not use the Service.

2. Service Description

VoiceKeep is an AI-powered text-to-speech platform that allows users to generate speech audio from text input using curated and custom voice models. The Service runs on our own GPU infrastructure and does not rely on third-party AI APIs for voice generation.

3. Eligibility

You must be at least 18 years old, or at least 13 years old with parental or guardian consent, to use the Service. By using the Service, you represent that you meet these requirements.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Free and Paid Tiers

• Free tier: Access to curated pre-cloned voices with daily generation limits and character limits as displayed in the Service.
• Paid tiers: Additional features including higher limits, custom voice cloning, and priority processing. Paid tiers will be available when launched and are subject to separate pricing as displayed at time of purchase.

6. User Content and Ownership

You retain ownership of all text input you submit and any voice samples you upload. By submitting content to the Service, you grant us a limited, non-exclusive, worldwide license to process, store, and transmit that content solely for the purpose of providing the Service to you.

You represent and warrant that you have all necessary rights to submit content to the Service and that your content does not violate any third party's rights.

7. AI-Generated Output

Audio generated by the Service is produced by AI models. We make no copyright claim over AI-generated output. You are solely responsible for how you use generated audio, including compliance with all applicable laws. You must follow our Acceptable Use Policy when using generated content.

8. Prohibited Conduct

You agree to comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in immediate suspension or termination of your account.

9. Payment and Billing

Paid subscriptions are billed through Stripe. By subscribing to a paid tier, you authorize us to charge your payment method on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not store credit card numbers on our servers.

10. Service Availability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED VOICE OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $10, WHICHEVER IS GREATER. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless VoiceKeep and its operator from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, or your violation of these Terms.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration. If arbitration is found unenforceable, disputes shall be resolved in the courts of the State of California.

15. DMCA and Copyright

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please contact us at dmca@voicekeep.io with:

1. A description of the copyrighted work claimed to be infringed
2. A description of the infringing material and its location on the Service
3. Your contact information
4. A statement that you have a good faith belief the use is unauthorized
5. A statement, under penalty of perjury, that your notice is accurate and that you are authorized to act on behalf of the copyright owner
6. Your physical or electronic signature

16. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) shall survive.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

18. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
